1. DEFINITIONS

1.1. Total Commission: The accumulated commission due and payable to the Affiliate.

1.2. Unpaid Commission: Commission fees that are due but not yet paid.

1.3. Completed Purchase: A finalized transaction between Lazy Prompter and a Buyer, approved by MOCHIMIN.

1.4. Net Completed Purchase Value:The total value of a Completed Purchase after deducting any vouchers, discounts, and rebates.

2. CHANGES TO THESE TERMS

MOCHIMIN reserves the right to modify these Terms at any time. Significant changes will be notified by email or in-app. Continued participation in the Program after modifications constitutes acceptance of the updated Terms.

3. PARTICIPATION REQUIREMENTS

3.1. Registration
Affiliates must provide true, accurate, and complete information during registration. MOCHIMIN reserves the right to accept or reject applications at its discretion.

3.2. Eligibility
Affiliates must be paid users of Lazy Prompter (monthly, annual, or lifetime plan). Accounts that are inactive for more than 15 days after expiration may be removed from the Program, and their customer list reassigned.

3.3. License
Affiliates are granted a limited, non-transferable, and revocable license to promote Lazy Prompter during the term of this agreement. Affiliates may not alter or misuse any Lazy Prompter materials without prior approval from Mochimin.

4. COMMISSION FEE AND PAYMENT TERMS

4.1. Commission Rate
Commission Fees are calculated based on the Net Completed Purchase Value of each transaction, adjusted for any discounts or vouchers applied. All fees are calculated before taxes.

4.2. Minimum Payout
Affiliates may request a payout once their Account Balance reaches 300,000 VND. Payments are processed weekly, and there are no fixed payout dates. If the balance is below the minimum payout threshold, the amount will roll over to the following period until it meets the requirement.

4.3. Taxes
- Corporate Affiliates: Affiliates outside Singapore are responsible for corporate income taxes in their respective jurisdictions.
- Individual Affiliates: Affiliates are responsible for declaring and paying any relevant personal income taxes in their jurisdiction.

4.4. Chargebacks
MOCHIMIN reserves the right to withhold or initiate chargebacks on transactions that fail to meet the Completed Purchase criteria or involve fraud, cancellations, or other prohibited actions.

5. RESPONSIBILITIES OF AFFILIATE

5.1. Conduct
Affiliates must not misrepresent Lazy Prompter or engage in deceptive or illegal marketing practices.

5.2. Prohibited Actions
Affiliates are prohibited from:
- Misleading advertisements or clickbait
- Spam, unauthorized mass emails, or auto-generated traffic
- The use of prohibited content, including materials that are illegal, discriminatory, or harmful

5.3. Cookies and Tracking
Affiliates must ensure that cookies are set only upon a user's voluntary and informed action. Techniques such as forced redirects, pop-ups, or cookie stuffing are strictly forbidden.

5.4. Confidentiality
Affiliates agree to maintain the confidentiality of all proprietary information shared by Mochimin, including but not limited to promotional strategies, unpublished materials, and sensitive business information.

6. TERM AND TERMINATION

6.1 Termination by MOCHIMIN
We may terminate the Affiliate’s participation at any time with seven (7) days' notice or immediately in case of breach.

6.2. Customer Reassignment
If an Affiliate becomes inactive, MOCHIMIN reserves the right to reassign customers to another Affiliate.

7. LIMITATION OF LIABILITY

7.1. Disclaimer of Warranties
ALL LAZY PROMPTER MATERIALS AND SERVICES ARE PROVIDED "AS IS" AND WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. AFFILIATES AGREE THAT LAZY PROMPTER WILL HAVE NO LIABILITY FOR ANY FAILURE IN SECURITY OR FUNCTIONALITY OF THE MATERIALS OR SERVICES. LAZY PROMPTER MAKES NO GUARANTEES THAT ITS MATERIALS OR LINKS WILL BE AVAILABLE, UNINTERRUPTED, SECURE, OR FREE OF ERRORS, VIRUSES, OR OTHER HARMFUL COMPONENTS.

7.2. Exclusion of Consequential Damages
UNDER NO CIRCUMSTANCES WILL LAZY PROMPTER BE LIABLE TO AFFILIATES FOR ANY CONSEQUENTIAL, INCIDENTAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS OR BUSINESS OPPORTUNITIES, ARISING FROM THIS AGREEMENT.

7.3. Cap on Liability
LAZY PROMPTER'S TOTAL LIABILITY IN ANY EVENT RELATED TO THIS AGREEMENT IS CAPPED AT THE TOTAL COMMISSION PAID TO THE AFFILIATE DURING THE SIX MONTHS IMMEDIATELY PRECEDING THE CLAIM, REGARDLESS OF CLAIM BASIS.

7.4. Risk Allocation
EACH LIMITATION IN THIS AGREEMENT REPRESENTS A FUNDAMENTAL ALLOCATION OF RISK AND AN ESSENTIAL ELEMENT OF THE PARTIES' AGREEMENT, EVEN IF A LIMITATION FAILS IN ITS ESSENTIAL PURPOSE.

8. DISPUTE RESOLUTION

8.1. In the event that a dispute cannot be resolved through informal means, any claims arising out of or relating to these Terms or our services will be submitted to arbitration under the Singapore International Arbitration Centre (SIAC) Rules.
